Terms of Service

Scope of Services

PIX15 provides AI-driven design, web development, product strategy, brand identity, and custom software infrastructure. Each custom project or ongoing retainer will be governed by a separate Statement of Work ("SOW") or project agreement, which is incorporated into these Terms by reference.

Platform Access

For merchants using our digital menu systems or SaaS products, PIX15 grants you a non-exclusive, non-transferable, revocable license to deploy and use the applicable platform solely for your internal business operations, in accordance with the subscription tier you have activated.

Eligibility

You must be at least 18 years of age and have the legal authority to enter into binding agreements on behalf of yourself or your organization. By using our Services, you represent and warrant that these conditions are met.

PIX15 Property

Unless otherwise expressly stated in a signed SOW, all source code, software, designs, systems, frameworks, tooling, documentation, and related materials developed or provided by PIX15 remain the exclusive intellectual property of PIX15. These are protected by applicable copyright, trademark, and trade secret laws.

Client & Merchant Content

You retain full ownership of all branding assets, logos, copy, food imagery, pricing data, and other materials you upload or provide ("Your Content"). By providing Your Content, you grant PIX15 a limited, worldwide, royalty-free license to host, display, and process it solely to deliver the contracted Services to your business. This license terminates upon contract conclusion.

Deliverable Ownership

Ownership of custom deliverables (e.g., a bespoke website or application) transfers to the client only upon receipt of full payment as specified in the applicable SOW. Until then, all work-in-progress remains the property of PIX15.

Pricing & Fees

Merchants using PIX15 SaaS products agree to the subscription fees specified at the time of activation. Fees are listed in USD and are subject to change with 30 days' written notice.

Setup & Custom Development

"Free Setup" promotions apply exclusively to standard onboarding. Custom development, design work, or feature requests outside the core platform scope may be quoted and billed separately under a dedicated SOW.

Billing Cycle

Subscriptions are billed on a recurring monthly basis starting from the activation date. Failed payments may result in temporary suspension of your hosted platform access until the outstanding balance is cleared.

Cancellation & Refunds

You may cancel your subscription at any time through your account dashboard or by contacting us at hello@pix15.studio. Upon cancellation, access remains active through the end of the current paid billing period. PIX15 does not issue prorated refunds for unused portions of a billing cycle unless required by applicable law.

You agree not to access or use the Services for any purpose other than their intended use. The following activities are strictly prohibited:

— Scraping, crawling, or systematically extracting data or content from our platforms without prior written consent. — Reverse engineering, decompiling, disassembling, or attempting to derive the source code of any PIX15 software. — Using the Services to display false, misleading, or fraudulent pricing, menus, or business information. — Uploading or transmitting viruses, malware, or any code designed to disrupt, damage, or gain unauthorized access to systems. — Attempting to probe, scan, or test the vulnerability of our infrastructure or breach any security measures. — Using the Services in any way that violates applicable local, national, or international law or regulation. — Impersonating PIX15, another user, or any third party, or misrepresenting your affiliation with any entity.

Violation of these provisions may result in immediate termination of your access without notice and may expose you to civil or criminal liability.

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, PIX15 EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

PIX15 does not warrant that the Services will be uninterrupted, error-free, secure, or free from viruses or other harmful components. No advice or information obtained from PIX15 or through the Services shall create any warranty not expressly stated herein.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PIX15, ITS OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOST REVENUE, LOST PROFITS, LOSS OF DATA, OR BUSINESS INTERRUPTION — ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SERVICES.

In no event shall PIX15's total cumulative liability to you for any claims arising under these Terms exceed the greater of (a) the total fees paid by you to PIX15 in the twelve (12) months preceding the claim, or (b) one hundred U.S. dollars (USD $100).

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for certain types of damages. In such jurisdictions, our liability shall be limited to the greatest extent permitted by law.

You agree to defend, indemnify, and hold harmless PIX15 and its officers, employees, contractors, and affiliates from and against any claims, liabilities, damages, judgments, awards, losses, costs, or expenses (including reasonable legal fees) arising out of or relating to:

— Your breach of these Terms or any applicable law or regulation. — Your Content, including any claim that Your Content infringes the intellectual property or other rights of a third party. — Your use of the Services in a manner not authorized or permitted by these Terms. — Any misrepresentation made by you in connection with the Services.

PIX15 reserves the right to modify, update, suspend, or discontinue any aspect of the Services at any time — including for scheduled maintenance, security patches, or platform improvements. We will provide reasonable advance notice for planned downtime where practicable.

While our infrastructure is engineered for high availability via enterprise-grade hosting providers, we cannot guarantee 100% uptime. Interruptions caused by factors outside our control — including third-party network outages, DNS failures, or force majeure events — shall not constitute a breach of these Terms.

By You

You may terminate your use of the Services at any time by canceling your subscription and ceasing all access. Termination does not entitle you to a refund of prepaid fees except as required by law.

By PIX15

We reserve the right to suspend or terminate your access to the Services — with or without notice — if we reasonably determine that you have violated these Terms, engaged in fraudulent or unlawful activity, or posed a security risk to our platform or other users.

Effect of Termination

Upon termination, your license to use the Services immediately ceases. Sections covering Intellectual Property, Limitation of Liability, Indemnification, and Dispute Resolution shall survive termination and remain in full force.

Informal Resolution

Before initiating formal legal proceedings, both parties agree to attempt in good faith to resolve any dispute informally by contacting PIX15 at hello@pix15.studio. We will have 30 days from receipt of notice to attempt resolution.

Governing Law

These Terms and any dispute arising from your use of the Services are governed by and construed in accordance with the laws of the Commonwealth of Puerto Rico and the federal laws of the United States, without regard to conflict of law provisions.

Jurisdiction

You agree to submit to the exclusive jurisdiction of the courts located in San Juan, Puerto Rico for the resolution of any disputes not settled informally. If you are a consumer located in a jurisdiction that does not permit mandatory forum selection, the applicable consumer protection laws of your jurisdiction shall apply.

Entire Agreement

These Terms, together with our Privacy Policy and any applicable SOW, constitute the entire agreement between you and PIX15 regarding the Services and supersede all prior agreements or understandings.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

No Waiver

PIX15's failure to enforce any right or provision of these Terms shall not be deemed a waiver of that right or provision.

Updates to These Terms

We may revise these Terms at any time. Material changes will be communicated via the "Last Updated" date above and, where appropriate, by direct notice. Continued use of the Services after any revision constitutes your acceptance of the updated Terms.
